The first code ' is drawn from UCC Section 2-609 . The provisions of the first

code and its UCC counterpart are verbatim- there are no differences at all between them

The second code ' is drawn from UCC Section 2-703 . There are several differences

between these two provisions , some of which are quite subtle and some of which are more substantial . The second code does identify what a breach by the buyer is , but does not expressly state that it is defining a breach . The UCC provision from which the

second code is drawn , however does set forth the definition of a breach and label it as such

Regarding the actual remedies set forth in the two provisions , those found in the second code are all included , verbatim , in the UCC provision . There are several remedies adopted by the UCC that are not in the second code . These include the right of the seller to reclaim the goods under UCC Section 2-507 (2 ) or 2-702 (2 require payment directly from the buyer under UCC Section 2-325 (c recover the price under UCC Section 2-709 obtain specific performance under UCC Section 2-716 recover liquidated damages under UCC Section 2-718 and , in other cases , recover damages in any manner that is reasonable under the circumstances
