The Role Corporate Governance in Decision-making
The owner of the firm is usually not the manager of the firm .
Oftentimes , firm owners hire managers to help them think of effective
strategies that would help the business . But there are times that the
idea or the decisions of the manager are in conflict with the idea or
decision of the firm owner . This is where the role of corporate
governance comes in .
Corporate Governance
Corporate governance is like a bond between managers , owners , customers ,
and anyone that is involved in the business that is used to find out and
govern the strategies used by the company and its performance . It really
has a great role in deciding on what strategies to implement on a firm
since it is concerned with finding more ways to guarantee that all
strategic decisions are effective enough to govern the company . It is
also often used by corporations so that if the owners of the firms and
its managers (specially the top-level managers ) do not have the same
interests and have conflicting ideas , corporate governance can play the

Corporate governance indeed has a very important role when it comes to
strategic decision making . For example , in a corporation , there are a
lot of owners and top-level managers . One cannot expect that all of them
will have the same idea of what strategy to use in the corporation . They
may have different views on what may be good for their business .
Corporate governance helps create harmony between these people and
deciding effective strategies will be possible . Also , ownership is
largely separated from managerial control in a modern corporation that
is why the owner might not know exactly what might be good for the
