The Dynamics behind Successful (hostile) takeovers/mergers

Executive Summary

The number and size of takeovers /acquisitions /mergers being completed continue to grow exponentially . Once a phenomenon seen primarily in the United States , takeovers /acquisitions /mergers are now taking place in countries throughout the world . It is clear that acquisitions have become one of the most important corporate-level strategies in the new millennium . Because of the importance of acquisition strategies to firm growth and success in the twenty-first century , this work has been written to analyze the dynamics behind successful (hostile takeovers /acquisitions /mergers . The explains the actions and

br processes of executing effective mergers and acquisitions . It also describes some of the major problems confronting managers who are planning such strategic actions . The work is grounded in research on many firms in a number of industries and describes multiple examples of successful and less successful mergers and acquisitions . Although their number and size are increasing , many mergers and acquisitions fail - or at least do not reach their potential . To explain these less-than-intended outcomes , and , more important , to describe actions that lead to merger and acquisition success , we were motivated to write this . While the basis for the work is grounded in this research it goes beyond the prior research . The goal was to write a complete work schedule for executing successful (hostile takeovers /acquisitions /mergers . We explain how to conduct an acquisition and also how to avoid major potential pitfalls . The describes the due diligence process and how acquisitions are financed . The process of seeking and finding cooperative mergers and achieving integration and synergy are explored . In this work , we discuss the need to create synergy as one prerequisite to acquisition success . In the , we have explored the probability of merger completion /success , using deal /firm /equity price information . Our multivariate analysis reveals that payments in the form of cash tend to enhance the likelihood of a successful takeover attempt , compared with the use of stock in payment These findings suggest that the payment method may signal something about the uncertainty of both target and acquirer stock values as well as their financial soundness . In addition to accounting and firm information , the merger type is one of major factors influencing the probability of takeover completion and success . Investment bankers and synergy can also add value to an acquisition
